RESEARCH USE POLICY
1. Scope and Application
This Research Use Policy (“Policy”) governs all sales of peptide products and related materials (“Products”) supplied by Lionheart Research Labs (the “Company”).
By purchasing, accepting delivery of or using any Product, the purchaser (“Buyer”) agrees to be legally bound by this Policy.
This Policy forms part of and is incorporated into the Company’s Terms and Conditions of Sale.
2. Intended Use – Strict Research Limitation
All Products are supplied strictly for research use only.
Permitted use is limited exclusively to:
- In-vitro laboratory research (experiments conducted in controlled laboratory environments, including test tube or cell culture studies); and
- Ex-vivo research involving biological material removed from an organism and studied outside a living body.
The Products are not intended for use in humans or animals, and are not to be used for:
Clinical applications
- Therapeutic or diagnostic purposes
- Drug development for human or veterinary administration
- Cosmetic, food, or agricultural applications
- Performance enhancement
- Any in-vivo experimentation
The Buyer warrants that the Products shall only be used within the strict confines of lawful laboratory research activities.
3. Strict Non-Consumption and Non-Administration Clause
ALL PRODUCTS ARE STRICTLY NOT FOR HUMAN OR ANIMAL CONSUMPTION OR ADMINISTRATION.
The following activities are expressly prohibited:
- Ingestion
- Injection
- Implantation
- Topical application
- Inhalation
- Sublingual or transdermal use
- Any form of administration to a living organism
The Products:
- Are not medicinal products within the meaning of the Human Medicines Regulations 2012;
- Have not been evaluated or approved by the Medicines and Healthcare products Regulatory Agency (MHRA);
- Are not licensed pharmaceuticals;
- Have not been tested for safety or efficacy in humans or animals.
Any deviation from these restrictions constitutes material misuse and a fundamental breach of this Policy.
4. Buyer Representations and Eligibility
By placing an order, the Buyer represents, warrants and undertakes that:
- They are purchasing for legitimate research purposes only.
- They possess adequate technical knowledge and laboratory competence.
- They will comply with all applicable laws and regulations, including but not limited to:
- Health and Safety at Work etc. Act 1974
- Control of Substances Hazardous to Health Regulations (COSHH)
- REACH (as applicable in the UK)
- Environmental Protection Act 1990
- They will ensure safe handling, storage and disposal consistent with professional laboratory standards.
The Company reserves the absolute right to refuse, restrict or cancel any order where it reasonably suspects non-compliant intended use.
5. Absolute Prohibition on Marketing for Consumption
The Buyer shall not:
- Advertise or market the Products for human or animal consumption;
- Make therapeutic, medical, bodybuilding, cosmetic or pharmacological claims;
- Suggest suitability for ingestion, injection or administration;
- Rebrand, relabel or modify safety statements in a manner inconsistent with this Policy;
- Market Products via channels that imply personal use (including but not limited to fitness, enhancement or lifestyle promotion).
Any such conduct shall constitute a material breach and may result in immediate termination of supply and legal action.
6. Resale Restrictions
Resale is strictly prohibited unless:
- The Products remain labelled “Research Use Only”;
- This Policy is provided in full to all downstream purchasers;
- No representations are made that conflict with the permitted research-only use.
The Buyer assumes full responsibility for the conduct and compliance of any downstream purchaser.
7. Indemnification
The Buyer agrees to indemnify, defend and hold harmless the Company, its directors, officers, employees, agents, affiliates and suppliers from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, penalties, fines, costs and expenses (including legal fees on a full indemnity basis) arising from or related to:
Misuse of the Products;
Use outside permitted in-vitro or ex-vivo research;
Administration to humans or animals;
Unlawful resale or marketing;
Regulatory enforcement action triggered by Buyer conduct;
Injury, death or property damage resulting from improper use or handling.
This indemnity shall survive delivery, payment, termination of supply and any expiration of contractual arrangements.
8. Liability Shield and Limitation of Liability
8.1 Assumption of Risk
The Buyer expressly acknowledges that research chemicals carry inherent risks. The Buyer assumes all risks associated with handling and use of the Products.
8.2 No Warranties
To the fullest extent permitted by law:
- Products are supplied on an “as is” and “as available” basis.
- The Company makes no express or implied warranties, including warranties of merchantability, fitness for a particular purpose or suitability beyond in-vitro or ex-vivo research.
8.3 Exclusion of Liability
To the maximum extent permitted under English law, the Company shall not be liable for:
- Indirect, incidental, special or consequential damages;
- Loss of profits, revenue or business opportunity;
- Regulatory penalties incurred by the Buyer;
- Damages arising from misuse or unauthorised application.
8.4 Financial Cap
In any event, the Company’s total aggregate liability arising out of or relating to any Product shall not exceed the purchase price paid for that specific Product.
8.5 Non-Excludable Liability
Nothing in this Policy excludes or limits liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation;
- Any matter which cannot lawfully be excluded under UK law.
9. Regulatory and Legal Responsibility
The Buyer is solely responsible for determining:
- The legality of purchase, possession, storage, export or use in their jurisdiction;
- Whether any licence, registration or notification is required.
The Company makes no representation that Products are compliant with regulatory regimes outside England and Wales.
